These Terms and Conditions govern your use of the website www.vanessaimmink.com and the professional services provided by Vanessa Immink Productions ("we," "us," or "our"). By engaging our services, you agree to these terms.
1. Services and Engagement
All professional services are provided based on an agreed-upon scope of work, timeline, and budget. Any request to modify the scope after a project has commenced may result in additional fees, which will be discussed and agreed upon in writing.
2. Fees and Payment
Invoicing: Invoices are issued based on the project milestones or timeline agreed upon in your specific proposal.
Payment Terms: Unless otherwise stated in your individual contract, invoices are payable within [e.g., 7 or 14] days of receipt.
Late Payments: We reserve the right to pause work on any project if payments are overdue.
Currency: All fees are quoted and payable in [New Zealand Dollars (NZD) / Australian Dollars (AUD)] unless otherwise specified.
3. Copyright and Intellectual Property
Ownership: Unless a separate written agreement is signed, all intellectual property rights—including drafts, concepts, and final designs created by Vanessa Immink Productions—remain our property until full payment is received.
Usage Rights: Upon full payment, the client is granted a perpetual, non-exclusive, non-transferable license to use the final deliverables for their intended business purpose.
Portfolio Use: We reserve the right to display any work created as part of our professional portfolio and for marketing purposes, unless a non-disclosure agreement (NDA) has been signed.
4. Limitation of Liability
To the maximum extent permitted by New Zealand and Australian law, Vanessa Immink Productions is not liable for any indirect, consequential, or incidental damages arising from the use of our services or website. Our total liability shall not exceed the amount paid by the client for the specific service provided.
5. Termination
Either party may terminate a project agreement with [e.g., 14 days'] written notice. If the client terminates the project, they remain liable for all work completed up to the date of termination and any non-refundable expenses incurred.
6. Governing Law
These terms are governed by the laws of New Zealand. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
